GROCERY FEE WAIVER PROMOTION - TERMS AND CONDITIONS

Overview

These Terms and Conditions (“Terms”) govern the Grocery Fee Waiver Promotion (“Promotion”) made available by Zip Co US, Inc. (“Zip,” “We,” “Our,” or “Company”).

The Promotion is valid between 12:00 AM EST on November 1, 2025, and until the earlier of (a) 11:59 PM EST on November 30, 2025; or (b) the end of the government shutdown (“Promotion Period”). The promotion ends if November benefits are materially restored. Zip reserves the right to extend or shorten the Promotion Period in its sole discretion without any notice.

During the Promotion Period, eligible Zip customers who have already completed an eligible grocery order (as defined below) using Zip Anywhere may submit the Grocery Fee Waiver form, available http://zip-us.zendesk.com/hc/en-us/requests/new?ticketformid=42781679564315 detailing their Eligible Grocery Order, to request a retrospective waiver of the origination fee (“Grocery Fee Waiver”) associated with that completed order. Each form entry is subject to Zip’s assessment of customer eligibility in accordance with these Terms.

This Promotion applies only to origination fees charged under the applicable Zip Loan Agreement. It does not apply to any other fees, including but not limited to late fees, payment date change fees, or other service related charges.

Binding Agreement

By participating in this Promotion, you agree to be bound by these Terms and Zip’s Customer Agreement and Loan Agreement, available at:

Capitalized terms not otherwise defined herein have the meanings assigned in those agreements.All decisions made by Zip regarding eligibility, validity of orders, and application of Origination Fee Waivers are final and binding.

Privacy

Personal information collected in connection with this Promotion (including receipts, contact details, and self-certification statements) will be processed in accordance with Zip’s Privacy Policy. Information will be used only for verifying eligibility, administering the Promotion, and meeting legal and regulatory requirements.

Zip does not require verification of employment or income status, participants self-certify their eligibility under Section 4.

Eligibility

To qualify for this Promotion, you must meet all of the following conditions during the Promotion Period:

  1. You are a Zip customer located in the United States in a state where Zip services are available;
  2. You have completed an Eligible Grocery Order (as defined in Section 5) during the Promotion Period;
  3. You self-certify via the Promotion form that you have been financially impacted by the government shutdown (e.g., through reduced or delayed income);
  4. You submit the Promotion form after completing your eligible grocery order, providing all information requested in the Promotion form;
  5. You submit the form within the Promotion Period.

This Promotion is retrospective only, it applies solely to origination fees already charged on qualifying completed orders. You cannot request or apply for the waiver before completing your grocery order. Submitting the form does not guarantee that your origination fee will be waived, eligibility and approval remain at Zip’s sole discretion.

Eligible Grocery Orders

An Eligible Grocery Order must meet all of the following criteria, as reasonably determined by Zip:

  1. The order was completed during the Promotion Period;
  2. The order was made using Zip Anywhere;
  3. All items in the order must be eligible grocery products;
  4. The order was placed at a grocery store, whose primary business is the sale of grocery or food products for household consumption;
  5. The order was associated with a Zip transaction that included an origination fee, as disclosed to you before you completed your purchase request with Zip; and
  6. The order was not refunded, canceled, or disputed at the time of submission.

Orders from general merchandise stores, department stores, convenience stores, or online marketplaces that sell a wide range of goods but are not primarily grocery-focused are not eligible. Zip reserves the right to determine, in its sole discretion, whether a purchase qualifies as an Eligible Grocery Order.

Important Limitations

  • The Promotion is retrospective: it applies only to origination fees charged on completed eligible grocery orders made during the Promotion Period.
  • You cannot apply for or receive the waiver in advance of completing your grocery order.
  • Origination fees are disclosed upfront before you confirm your purchase request with Zip, this Promotion does not change the disclosure or underlying loan terms.
  • The Promotion does not apply to any other fees (including late fees or payment date change fees).
  • This Promotion does not alter or amend the pricing, finance charges, or loan terms disclosed under your Loan Agreement. It is a limited-time promotional rebate only.
  • If a qualifying transaction is refunded, reversed, or otherwise found invalid, Zip reserves the right to revoke the waiver.

Fairness and Compliance

This Promotion is a temporary goodwill program intended to support customers impacted by the government shutdown. Participation is voluntary and does not affect your ongoing obligations under any Zip loan or service agreement. This Promotion should not be construed as financial assistance, debt forgiveness, or a government relief program.

Restrictions

Participants may not:

  • Submit multiple forms for the same transaction;
  • Provide inaccurate, incomplete, or misleading information;
  • Use automated systems, bots, or scripts to participate; or
  • Otherwise attempt to manipulate or misuse the Promotion.

Zip reserves the right to disqualify participants, revoke benefits, or terminate this Promotion for misuse or breach of these Terms.

Territory

This Promotion is valid only in U.S. states where Zip services are available at the time of participation. Availability is subject to change at Zip’s discretion.

Liability

To the fullest extent permitted by law, Zip and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for any direct, indirect, incidental, consequential, or special damages arising from participation in this Promotion. Zip’s maximum aggregate liability in connection with this Promotion shall not exceed fifty dollars ($50).

Taxes

You are solely responsible for any applicable taxes or fees resulting from participation in this Promotion or receipt of an Origination Fee Waiver.

Right to Cancel, Modify or Terminate

Zip reserves the right, in its sole discretion, to cancel, modify, or terminate this Promotion or these Terms at any time without notice, including to comply with applicable legal, regulatory, or operational requirements.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be severed and the remaining Terms shall remain in full force and effect.
