The following Terms and Conditions (“Terms”) apply to Zip Fest Program (“Program”) offered by Zip Co US, Inc. (“we”, “Zip” or “Company”). As part of the Program, we are offering users in the United States (“you”) opportunities (“Offers”) to earn certain cash back rewards payable by Zip (“Rewards”), all in accordance with and subject to the Terms set forth below.

You may participate in the Program using our payment gateway via integrated merchants’ e-commerce platforms (in either case, the “Platform”) by successfully completing a purchase transaction (“Transaction”) through certain of partners and retailers who are identified in an Offer (collectively, “Merchants”) during the time period identified within that Offer (“Program Period”).

Certain offers may be made directly by Merchants and promoted as a part of the Program, such as via discount code or link out to a Merchant site, and the Merchants themselves are responsible for any such offers. Any terms and conditions applicable to such offers are the responsibility of the applicable Merchants. Zip is only responsible for our own Offers, and only our Offers are subject to these Terms.

1. Binding Agreement.

By using the Platform or participating in the Program, you are bound by these Terms and indicate your agreement to them.  All of the Company’s decisions are final and binding.  These Terms incorporate by reference and are subject to the Company’s Customer Agreement available at https://zip.co/us/quadpay-terms-of-service (Capitalized terms not otherwise defined shall have the meanings set forth in the Customer Agreement.)

2. Privacy.

The personal information collected, processed and used as part of the Program will be used in accordance with Company’s Privacy Policy, which is available for your review at https://zip.co/us/privacy-policy.

3. Eligibility.

If you are under the age of legal majority in your state, then you may not use or access the Platform or participate in the Program. Without limiting the foregoing, children under 13 years old are prohibited from accessing the Zip Platform or otherwise providing any personal information to Zip.   Specific Offers may be made available under the Program to individual users, in which case such Offers are personal and non-transferrable. Other Offers made available under the Program may be available generally to classes of users or to all users, as indicated in the Offers themselves.

4. How the Program Works.

• Each Offer specifies the amount of the available Reward, a required minimum Transaction value and the method of application or redemption for such Offer (e.g., “Spend $100+ using Zip at Mercari and receive as your Reward $10 off the 4th installment” or “Spend $200+ at any merchant and receive $10 back”).
• In order to receive any given Reward, you shall have:

  • successfully completed a Transaction, using the Platform, with a Merchant for an amount no less than the minimum amount specified in the applicable Offer for such Merchant (if any); and
  • for cash back Rewards and Rewards resulting in a reduction of the final installment of a payment plan, made all payments due and payable to Zip, pursuant to Company’s Customer Agreement, in connection with such Transaction on time, failing which you will not be eligible to earn any Reward for such Transaction.
• If a Merchant processes a refund (full or partial) of a Transaction made by you, such that the net amount of the Transaction after such refund will be less than the minimum amount specified in the applicable Offer for such Merchant (if any), you will not be eligible to earn any cash back Reward for such Transaction, and the value of any ‘dollar off’ Reward will be forfeited.
• Your right to earn Rewards under any Offer shall be subject to any maximum Reward or minimum Transaction amounts, as may be specified in the applicable Offer. 
• Notwithstanding anything to the contrary herein, you may not receive more than an aggregate of 2 separate Rewards or $40 in Rewards from all of your Transactions during the Program Period (the “Cap”). For the avoidance of doubt, you may receive and use a combination of Offers including Merchant-specific Offers and other types of Offers, and cash back offers which are not made under these Terms, any of which may be eligible to be applied to your Transactions during the Program Period. However, in any case, the maximum Reward you will be able to receive from Transactions with any given Merchant during the Program Period will be equal to the Cap.
• For cash back Rewards, except for the Mercari-specific Offer described in Section 12 below, provided your satisfaction of each of the foregoing conditions for each qualifying Transaction, you will within 30 days after the end of the Program Period or such Transaction payment schedule, whichever is later, the corresponding Reward by way of a cash back deposit or refund to your original mode of payment (such as a credit card or debit card) for such Transaction.

5. Restrictions.

You may not use the Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Program.  In addition, you may not (i) tamper with the Program, (ii) act in an unfair or disruptive manner, or (iii) use any system, bot or other device or artifice to participate or receive any benefit in the Program. This includes but is not limited to a general prohibition on posting of Offers or personal links on any website or social media platform.  If we believe that a link or Offer associated with your account was used in such a manner, we have the right to revoke all Rewards granted to you and/or remove you from our Platform. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE COMPANY RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

6. Neither Redeemable Nor Transferable.

Except as otherwise provided by these Terms, Rewards have no monetary value and may not be redeemed for cash.  They are not transferable and may not be auctioned, traded, bartered or sold.

7. Liability.

YOU UNDERSTAND AND AGREE THAT THE INDEMNIFIED PARTIES (DEFINED BELOW) SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, ACTUAL, CONSEQUENTIAL, ECONOMIC, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY ZIP OR THE COST OF SUBSTITUTE SERVICES) ARISING IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE ZIP PLATFORM OR ZIP SERVICES, EVEN IF  ADVISED OF THE POSSIBILITY OF THE SAME. By participating in the Program, you agree to indemnify, defend, and hold harmless Zip and Affiliates, and their attorneys, insurers, independent contractors, providers, successors and assigns (the “Indemnified Parties”) from and against any and all Losses incurred in connection with (i) your use or inability to use the ZipPlatform or Services, or (ii) your breach or violation of this Agreement; (iii) your violation of any law, or the rights of any user or third party and (iv) any content submitted by you or using your account to the Zip Platform, including, but not limited to the extent such content may infringe on the intellectual rights of a third party or otherwise be illegal or unlawful. You also agree to indemnify the Indemnified Parties for any Losses resulting from your use of software robots, spiders, crawlers, or similar data gathering and extraction tools, or any other action you take that imposes an unreasonable burden or loan on our infrastructure. Zip reserves the right, in its own sole discretion, to assume the exclusive defense and control at its own expense of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter without the prior written consent of Zip.  TO THE FULLEST EXTENT POSSIBLE BY LAW, THE INDEMNIFIED PARTIES’ MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), SHALL BE FIFTY DOLLARS ($50).

8. Disclaimer of Warranties.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE PROGRAM AND THE ZIP PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OR CONDITIONS OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZIP MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT PROVIDED THROUGH THE ZIP PLATFORM OR THE CONTENT OF ANY SITES LINKED TO THE ZIP PLATFORM AND ASSUMES NO LIABILITY OR RESPONSIBILITY IN CONTRACT, WARRANTY OR IN TORT FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE ZIP PLATFORM, (III) ANY ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; AND (IV) EVENTS BEYOND OUR REASONABLE CONTROL.

9. Taxes.

If you receive a Reward under the Program, you are responsible for all applicable taxes and fees resulting from it, if any.

10. Severability.

If any provision in these Terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void, or unenforceable) will be struck and will not affect the validity of and enforceability of the remaining provisions.

11. Right to Cancel, Modify or Terminate.

We reserve the right to cancel, modify or terminate these Terms or the Program at any time for any reason in our sole discretion. We reserve the right to disqualify any user at any time from participation in the Program if we have a good faith belief that he/she has violated any of these Terms.

TERMS AND CONDITIONS APPLICABLE FOR ONLY FOR CASHBACK PROMOTIONS

Zip Co US Inc. (“We”, “Zip”, or “Company”), may at times offer users in the United States (“You”, the “User”, the “Customer” or “Participant”) opportunities (“Promotion”) to earn incentives in exchange for your preference for Zip as payment method. Currently, Zip is offering Cashback credit rewards (as defined below) opportunities for purchases or other transactions with the Selected Affiliate Merchants. Please read our Terms and Conditions (“Terms”) for eligibility and other information.

BINDING AGREEMENT

By participating in the Promotion, you are bound by these Terms and Conditions and indicate your agreement with them unless they expressly refer to another set of governing terms or another Promotion.

PROMOTIONAL PERIOD

Promotion starts and closes at the Start and End Dates and times described in the description of the Promotion (“Promotional Period”).

CASHBACK

Cashback is a Zip perk where a percentage of eligible purchases or transactions made from the Selected Affiliate Merchant using the Zip App, is paid back to the Customer, and credited as a reward to be applied to future purchases or transactions with the Zip App. The final amount of your reward is based on the value of your booking. This amount may exclude some taxes/fees and is subject to currency conversion rates.

HOW TO ENTER:

PURCHASE NECESSARY. When you use Zip as the payment method with the Selected Affiliate Merchant, Zip will pay you a Cashback percentage of that purchase or transaction to your Zip App rewards credit that you can apply in future Zip App transactions. This Cashback reward credit is automatically added to your Zip App.

Cashback with Zip is always earned after a purchase or transaction is completed. You must redeem your Zip Rewards credits balance within 60 days of earning it.

Keep in mind that Zip reserves the exclusive right of varying the terms and conditions, duration, and offered benefits of the Promotion, including the right to terminate the Promotion before the end of the expected Promotional Period.

Users are subject to all notices posted online including but not limited to Zip Privacy Policy which can be found at: www.zip.co/us/privacy-policy.

The use of any automated entry software or any mechanical, electronic, or other means that allows a User to automatically enter multiple transactions or purchases is prohibited and will render the participation by that User invalid.

Zip reserves the right to verify the completion and validity of any and all purchases, transactions that qualify the Participant to the Promotion, and reserves the right to disqualify any User from the Promotion for: (a) tampering in any way with the process; (b) making a purchase or transaction that is not in accordance with these terms and conditions, or was later cancelled or reimbursed; (c) if the User is engaged in any unlawful or other improper conduct calculated to jeopardize or places doubt on the fair and proper conduct or effectiveness of the Promotion. Zip legal rights to recover damages or other compensation from such an offender are reserved. Purchases and transactions with the Selected Affiliate Merchant shall be made using the Zip App during the Promotional period to be beneficiary of the Cashback Promotion.

Users can only enter in their own names. Users who provide incorrect, misleading, or fraudulent information are ineligible to participate in the Promotion, and all transactions of a User who is deemed by the Selected Affiliate Merchant or Zip to have provided incorrect, incomplete, incomprehensible, misleading, or fraudulent information or fraudulent transactions may, at the discretion of Zip, be deemed invalid. Zip reserves the right to request the User produce (within the requested time) appropriate photo identification or other documentation (to Zip’s satisfaction, at its sole discretion) in order to confirm the User’s identity, age, residential address, eligibility to enter and any information submitted by the User in entering the Promotion, before issuing any Cashback credit.

If the documentation, record, or transaction registry required by Zip is not received by Zip (or its nominated agent) or a User, purchase, or transaction has not been verified or validated to Zip satisfaction, then all the purchase or transactions related to the Promotion will be ineligible and deemed invalid and no Cashback credits will be credited in favor of the User in the Zip App.

ELIGIBILITY

If you are under the age of legal majority in your state, you may not use or access Zip’s platform. Children and persons under 18 years old are prohibited from accessing Zip’s App and Zip’s Platform, participating, or otherwise providing any personal information to Zip. Zip’s products and Promotions are not marketed nor designed for children, and Zip disclaims any and all liability for any children or minors that may be exposed to our Services, Offers, or Promotions by a responsible adult or legal guardian. Specific Promotions may be made available to individual Users, in which case such Promotions are personal and non-transferable. Other Promotions may be available generally to classes of Users or to all Users, as indicated in the Promotions themselves. Zip reserves the right to determine the eligibility of any User or class of Users for each Promotion, using its sole discretion.

CASHBACK CONDITIONS

Cashback credits are not transferable or exchangeable and cannot be taken or exchanged for cash (unless otherwise indicated). Cashback credits must be taken as offered and their nature or origin cannot be varied.

It is the sole responsibility of the User to ensure that it can meet the requirements to use make the participating transaction or Promotion. It is the responsibility of the Selected Affiliate Merchant not of Zip if the transaction or purchase was not firm or effective, and Zip reserves the right to cancel any Cashback credits that were derived from canceled, null, rejected, or reversed transactions or purchases with Selected Affiliate Merchant.

ACCESS TO THE PROMOTION

Any costs associated with accessing the Selected Affiliate Merchant platform to participate in the Promotion remain the responsibility of each User and may vary depending on the Internet service provider or telecommunications provider that the Participant uses. Zip and its associated agencies, partners, and companies are not responsible for any problems, delays, or technical malfunction of any telephone or network or lines, servers or providers, computer equipment, software, technical problems, or traffic congestion on a network or a mobile network or any combination thereof, or any other technical failures including any damage to the User or any other person’s mobile handset, computer or peripherals related to, or resulting from, participation in this Promotion or the downloading of any materials related to this Promotion.

NOTICE TO USERS REGARDING DISPUTES

In the event of a dispute over the identity of the Zip App user, it would be considered done by the “Authorized Account Holder” of the e-mail address used and linked to the Zip App. Authorized Account Holder means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Zip may ask any User to provide Zip with proof that such party is the authorized account holder of the email address associated with the entry. In case of controversy regarding this specific promotion, Zip’s decision is final, and no correspondence will be entered into on the subject.

FORCE MAJEURE

If this Promotion is not capable of running as planned for any reason beyond the reasonable control of Zip, including but not limited to war, terrorism, pandemic, state of emergency or disaster (including natural disaster), infection by computer virus, bugs, tampering, unauthorized intervention, technical failures or anything which corrupts or affects the administration, security, fairness, integrity or proper conduct of this Promotion, Zip reserves the right, in its sole discretion subject to any written directions made under applicable legislation, to cancel, terminate, modify or suspend the Promotion and/or, if necessary, to provide an alternative venue for crediting or paying the Cashback.

LIMITATION OF LIABILITY

Zip and its associated agencies and companies exclude all liability (including negligence) except for any liability that cannot be excluded by law (including any applicable consumer guarantee under applicable consumer laws), for any direct or indirect injury, loss and/or damage arising in any way out of the Promotion. This includes, but is not limited to: (i) technical malfunctions, delays, or failures, including those resulting from accessing any materials related to this Promotion and any incorrect, inaccurate, or incomplete information communicated in the course of, or in connection with, this Promotion as a result of any technical malfunctions, delays or failures; (ii) theft, unauthorized access or third party interference; (iii) lost or damaged records, (iv) acceptance and/or use of any benefit or credit; (v) any fraud, misrepresentation or concealment by any person or persons in connection with this Promotion (vi) the procurement of any applicable insurance or in the making of a claim under applicable insurance; and/or (vii) any erroneous printing or duplication (if applicable). Zip and the publisher of the website on which this Promotion appears are not responsible for the content of any Linked Sites, whether or not Zip is affiliated with the Linked Sites. Zip does not in any way endorse any Linked Sites and is not responsible or endorses them regarding the quality or delivery of any products or services offered, accessed, or advertised by such Linked Sites. To the extent that these Linked Sites collect Personal Information or postings from the Participants, Zip shall bear no responsibility or liability for the manner in which such information or postings are used or exploited. The Linked Sites, including that of the Selected Affiliate Merchant, are at the Participant’s convenience only and Participants agree to access them at their own risk.

Social media membership, pages, applications, and use of social media generally is subject to the prevailing terms and conditions of use of the social media platform. This Promotion is in no way sponsored, endorsed, or administered by, or associated with, any social media platform including but not limited to Instagram, Facebook, Twitter, Pinterest, Snapchat, or others (“Social Media Site”). If a Participant uses social media to participate in any manner in the Promotion, the User then understands that they are providing their information to Zip and not to any Social Media Site. Participants are solely responsible and liable for the information they transmit to other Internet Users.

RESTRICTIONS

Users cannot refer themselves or create multiple, fictitious, or fake accounts with Zip in order to accept or participate in a Promotion multiple times. You may not use the Promotion to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene, malicious, in bad faith, or outside the spirit and intent of the Promotion. Zip reserves the right, in its own sole discretion, to assume the exclusive defence and control at its own expense of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter without the prior written consent of Zip.

TO THE FULLEST EXTENT POSSIBLE BY LAW, THE INDEMNIFIED PARTIES’ MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), SHALL BE FIFTY DOLLARS ($50).

ZIP MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT PROVIDED THROUGH ZIP’s APP, ZIP‘S PLATFORM OR THE CONTENT OF ANY SITES LINKED TO ZIP’s APP, ZIP’S PLATFORM AND ZIP PROMOTIONS AND ASSUMES NO LIABILITY OR RESPONSIBILITY IN CONTRACT, WARRANTY, OR IN TORT FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF ZIP PLATFORM OR PARTICIPATION IN A PROMOTION, (III) ANY ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; AND (IV) EVENTS BEYOND OUR REASONABLE CONTROL.

TAXES

You are responsible for all applicable taxes and fees resulting from the purchase, transaction, or use of the Zip’s App or Zip’s Platform, as the method of payment, if any apply.SEVERABILITY. If any provision in these Terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void, or unenforceable) will be struck and will not affect the validity of and enforceability of the remaining provisions.

RIGHT TO CANCEL, MODIFY OR TERMINATE

We reserve the right to cancel, modify or terminate these Terms or the Promotion at any time for any reason in our sole discretion. We reserve the right to disqualify any User at any time from participation in the Promotion if we have a good faith belief that he/she has violated any of these Terms, or the Terms of Use of any of Zip’s products and services, Zip’s App and Zip’s platform.
