You will join Zip’s Legal and Governance function, a team that plays a critical role in supporting strong decision making, transparency and trust across our business. Working closely with the Company Secretary, this team partners with leaders across legal and compliance, finance, strategy, risk and investor relations to ensure Zip operates with integrity and at pace.

As an Assistant Company Secretary, you will support the effectiveness of the Zip Co Limited Board and Board Committees, as well as the boards of a number of Australian and New Zealand subsidiaries. This is a highly visible role where your governance expertise, attention to detail and ability to build trusted relationships will directly support Zip’s continued growth and evolution.

What you’ll own

  • Supporting the day to day delivery of high quality secretariat services for the Board and Board Committees, including agendas, papers, resolutions and action tracking
  • Ensuring Board and Committee processes run smoothly, with clear timelines for preparation, circulation and follow up of materials
  • Attending governance forums and preparing accurate, concise minutes as required
  • Assisting with the preparation and lodgement of ASX announcements and forms
  • Managing corporate registers, records and delegated authority frameworks
  • Supporting compliance with ASX reporting obligations, ASIC lodgements and other statutory requirements for Zip Co Limited and ANZ subsidiaries
  • Acting as company secretary for certain subsidiaries and managing ANZ subsidiary board processes, including meetings, resolutions and statutory compliance
  • Advising subsidiary boards and management on governance best practice and regulatory obligations
  • Supporting global subsidiary governance initiatives, including corporate simplification activities
  • Coordinating onboarding, education and development for subsidiary board members

What you'll bring to the team

  • Extensive governance experience in a regulated, ASX listed environment, with a strong understanding of board and committee operations
  • A minimum of 8 years’ experience in company secretariat or governance roles
  • A law degree, with a Graduate Diploma of Applied Corporate Governance considered an advantage
  • Strong working knowledge of the ASX Listing Rules, Corporations Act 2001 (Cth) and corporate governance principles
  • Hands on experience using Diligent Boards
  • Exceptional written and verbal communication skills, with confidence engaging senior leaders and directors.
  • Strong organisational skills and the ability to prioritise competing deadlines in a fast paced environment
  • A proactive, collaborative mindset with a high level of attention to detail
  • A mindset that embraces AI and new tools to adapt, learn and grow.
